PRIVACY POLICY

This Privacy Policy explains how Popshop collects, uses, processes and discloses your personal information in connection with your access to and use of the Platform. This Privacy Policy is incorporated by reference into the Popshop Terms of Use Agreement. All capitalized terms that are not defined in this Privacy Policy shall have the same meanings as in the Popshop Terms of Use Agreement.


  1. COLLECTION OF INFORMATION.


  1. Information You Give to Us. When you use the Platform, we ask for and collect certain information about you which is necessary for the performance of the agreement between you and Popshop and permits us to comply with our legal obligations. For example, we collect personal information about you when you create an Account, fill out forms, connect with us on social media sites, request support or otherwise communicate with us. Information you give to us includes account information, such as your name, your company name, email address and phone number and may include additional information, such as your physical address. We may also collect (i) identity verification information to authenticate your identity, such as your birthday, (ii) payment and financial information (such as your bank account and credit card information), (iii) communication information in connection with your communications with others on the Platform and (iv) additional profile information that you may choose to provide to us, such as a preferred language or description of your Space.


  1. Information We Collect Automatically When You Use the Platform. When you use or access the Platform, we automatically collect personal and other information that may include (i) usage information, such as your interactions with the Platform, the pages you use and view, searches for Listings and other actions on the Platform, (ii) log data, such as browser information, IP addresses, access dates and times, (ii) device information, including the hardware model, operating system, unique device identifiers, and mobile network information, (iii) location information about the location of your device each time you access the Platform, and (iv) information collected by cookies, web beacons and other tracking technologies.


  1. Information We Collect from Third Parties. We may obtain information, including personal information, that others provide about you when they use the Platform, or from other sources and combine that with information we collect through the Platform. For example, when you create or log in to your Account through a social media site, we will have access to certain information from that site, such as your name, account information and list of friends and connections in accordance with the authorization procedures of such sites, except to the extent that such social media platform allows you to disable this function. Also, to the extent permitted by Law, we may receive additional information about you, such as fraud detection information from third parties, and combine it with information we have about you. We may receive information about you and your activities through our partners advertising network as well.


  1. HOW WE USE INFORMATION WE COLLECT. We use information we collect to improve the Platform, comply with legal obligations and create and maintain the Popshop marketplace. For example, we use information we collect to (i) provide, maintain and deliver Services, process transactions and send you information, such as confirmations and invoices, (ii) send you notices, security alerts and support messages, (iii) provide customer service, (iv) advertise the Services, (v) foster communication amongst Users, (vi) communicate with you regarding information or advertisements we think would be of interest to you, (you may opt out of receiving these updates by sending us an email at [email protected], (vii) analyze and monitor usage and activities in connection with the Platform and Services, and provide content or features that match User’s interests, (viii) conduct security investigations and risk assessments, detect and attempt to prevent fraud, verify and authenticate information, (ix) comply with legal obligations and (x) enforce the Popshop Terms of Service, (x) improve the Platform and Services and (xi) carry out any other purpose for which the information was collected. You may opt-out of receiving communications from us by following the instructions in the e-mail or other message you receive from us or by following the instructions set forth in the “Opting In and Opting Out of Electronic Communications” section in this Policy.


  1. SHARING AND DISCLOSURE OF INFORMATION.


  1. Consent, and Between Users. We may share information we collect from you, including personal information as set forth in this Section 3 or as otherwise set forth in this Privacy Policy. Where you have provided consent, we may share your information, including personal information, as described at the time of your consent. To foster Bookings, communications and other interactions and transactions between Users, we may have to share certain information, including personal information with other Users, as may be required for the performance of the terms and conditions of the Popshop Terms of Use Agreement, including: (i) when an Brand submits a request for a Booking, certain information about the Brand is shared with the Space Owner, which information may also be shared to arrange a site visit and complete a Booking, (ii) when a Space Owner submits a Listing, certain information may be shared with potential Brands to arrange a site visit and complete a Booking, and (iii) with Vendors and other service providers who need access to such information to perform work as requested through the Booking.


  1. Listings and Public Information. Listing pages and the information contained thereon are publicly visible and include information that the Space Owner has shared about the Space and the Space Owner. Based on our interest in promoting the Platform, we may show your Listing page on sites operated by Popshop’s partners, and with other third parties providing marketing and promotional services on our behalf, where such public information may be displayed. A Space Owner may also share your information with third party service providers for the purpose of assisting with your Booking or use of a Space.


  1. Social Sharing. Through the Platform, you may be offered social sharing features, which let you share actions you take on the Platform on other social media (like Facebook and Twitter, and vice versa). The use of such features allows us to share your personal information with your friends or the public, depending on the settings you establish in your social media accounts. Such social media platforms may share your personal data, but are not controlled or supervised by Popshop. Any questions you have regarding how such social media platforms use your information should be directed to such provider. We may also use information, where permitted by applicable Law, such as your email address, to generate leads and drive traffic to the Platform or otherwise promote the Platform and Services. These activities are based on our legitimate interest in marketing products and services to you that may be of interest to you.


  1. Aggregated Data. Popshop may anonymize your information to remove any identifying attributes and aggregate information for regulatory compliance, industry and market analysis, marketing and advertising and other business purposes.


  1. Service Providers and Analytics. Popshop uses a number of third-party service providers who need access to your information to carry out work on our Platform such as (i) verification of your identity (ii) conducting background checks (iii) fraud prevention (iv) providing customer service, advertising, marketing, payment services and promotional services. These providers have agreed to handle your personal information that is consistent with this Privacy Policy. In addition, we may allow third parties to provide analytics services to us. These third parties may use cookies, web beacons and other technologies to collect personal information regarding the use of the Platform and Services, including your IP address and web browser. Popshop and others may use this information to analyze data and obtain a better understanding of User’s use of the Platform.


  1. Business Transfers. In the event that Popshop negotiates, commences or is involved in any merger, acquisition, sale of assets, financing or bankruptcy, then Popshop may sell and/or transfer some or all of its assets, including your information in connection with such transaction.


  1. Compliance with Law and Protection of Popshop. Popshop may disclose your information (i) if we believe disclosure is required by Law, or to comply with legal process, such as verified requests from law enforcement or other governmental authority in connection with a criminal investigation or proceeding, or illegal activity that may expose us or our Users to legal liability, (ii) to enforce the Pop Shop Terms of Use, and (iii) to protect the rights, safety of Popshop, its employees and agents, Users, or the public.


  1. THIRD-PARTY PARTNERS. There may be links on the Platform to Vendors’ web sites and other third-party web sites and/or services. Popshop does not own or control such Vendor or third-party web sites, and by using such web sites, you may be providing information directly to such Vendors and third parties. They will have their own privacy policy and rules about the collection and disclosure of your information, which we encourage you to review. If you wish to opt out such out such third party’s future use of your information, you will need to contact such third party directly.


  1. YOUR RIGHTS.


  1. Updating and Retention of Your Information. You may correct, update or delete information from your Account, or delete or deactivate your Account at any time by [emailing us/updating the information in your Account]. We may retain your information, including cached and archived copies, if required by Law or legitimate business purpose. We may purge your information in accordance with our normal business practices and as permitted by Law.


  1. Cookies. Cookies are small data files stored in device memory that help us improve your experience on the Platform. Most web browsers, by default, accept cookies. You may disable cookies on your browser settings, however, disabling cookies may affect your ability to log in to and use the Platform.


  1. Promotional Communications and Push Notifications. With your consent, we may send you push notifications to your mobile device to provide you with promotional communications and information, updates to our Services and other messages. You can opt out by following the instructions in the communications or emailing us. You may also deactivate such notifications by changing the settings within our application or on your mobile device.


  1. Location Information. When you open an application that collects location information, you will be asked to consent to the application’s collection of such information. [We require location information to use the Platform, so if you do not consent, you cannot use the Platform or Services.] If you initially consent to our collection of location information, you can stop the collection of location information by changing the settings on your mobile device. If you do so, our application will not function. You may also stop our collection of your location information by uninstalling our application from your mobile device. We may use the address of any Space Listed by a Space Owner to identify the Space and provide maps and/or directions.


  1. Opting In and Opting Out of Electronic Communications. At certain points where your information is collected on the Platform, there may be a box to indicate that you wish to receive certain information or communications from us. You may opt out of receiving electronic communications, such as emails from us at any time. In all of our electronic communications you will be given the opportunity to opt out of receiving future communications. You may also opt-out or change your preferences by providing opt-out instructions – e.g. sending an email to [email protected],  including the contact information we are using to communicate with you, such as your email address. Be sure to let us know the specific types of communications you no longer wish to receive.


  1. Security. Popshop takes commercially reasonable measures to protect your information from theft, unauthorized access, disclosure, alteration and destruction in accordance with Law.


  1. California Privacy Rights. Under California law, California residents who have provided personally identifiable information to a company may have the right to request a list of all third parties to whom that company had disclosed such information for the third parties’ direct marketing purposes during the preceding calendar year, along with a list of the categories of personal information that had been so disclosed unless the company has a policy of not disclosing such information if the user has exercised an option to opt out of such information sharing. Popshop gives you the right to opt out of having your information disclosed to third parties for the third parties’ direct marketing purposes. Because Popshop provides you with an opportunity to opt out of such disclosure, Popshop does not have to provide you with such lists. For the avoidance of all doubt, these opt-out options are available for all users and are not just limited to California users. If you are a California resident who would like information on how to exercise your rights concerning third party disclosures under California law, you may send an email to [email protected].


  1. Governing Law. Popshop is located in the United States, and the information we collect is governed by U.S. law. By accessing and using the Platform and Services, you understand and agree to the applicability of U.S. law to the collection, use and transfer of your information for the purposes described in this Privacy Policy.
